The Elisha Show
Terms of Use
& Guest Agreement
Governing the use of The Elisha Show’s content and participation as a podcast guest.
These Terms govern two relationships: listeners and website users under Part I, and podcast guests under the Recording License in Part III. By using the site or content, or by participating in an interview, you agree to the provisions that apply to you.
I
Listener, Viewer & Website User Terms
What you may do with The Elisha Show’s public content, and what remains reserved.
01 — About
About The Elisha Show
The Elisha Show (“The Show,” “we,” “us,” or “our”) is a podcast and media platform focused on connecting seekers with solvers and inspiring leadership, mindset growth, personal transformation, purpose, faith, relationships, business, personal development, and related subjects.
The Elisha Show publishes interviews, conversations, educational content, commentary, articles, transcripts, audio, video, promotional materials, and other forms of media.
These Terms govern two primary relationships:
- A. Listeners, viewers, website visitors and other users — the terms under which you may access and use The Elisha Show’s content and services.
- B. Podcast guests — the terms under which you participate in an interview and grant The Elisha Show rights to record, publish, distribute, archive, promote, monetize and license your contribution.
By accessing or using the website, podcast, video or written content, you agree to the provisions applicable to you. By participating as a guest, you additionally agree to Part III.
02 — Acceptance

By accessing, listening to, watching, reading, downloading, sharing or otherwise using publicly available content from The Elisha Show, you agree to comply with these Terms to the extent applicable to your use.
If you do not agree with these Terms, you should discontinue use of the website and services.

- use branding to imply unauthorized sponsorship or endorsement;
- use content to impersonate The Elisha Show or its guests;
- use content to create deceptive or misleading synthetic media; or
- use the website or content for unlawful purposes.
Nothing in this section limits rights that cannot legally be restricted under Nigerian copyright law.
05 — Sharing
Sharing the Show
You are encouraged to share The Elisha Show with others. Sharing a link to an official episode, website page, podcast platform listing or social-media post is generally permitted.
Where a platform provides an official sharing function, you may use that function in accordance with the platform’s rules. The preferred way to share The Elisha Show is by directing people to the original source rather than downloading and re-uploading the content.
06 — Fair use
Quotations and Fair Use / Legal Exceptions
Nothing in these Terms is intended to remove copyright exceptions or limitations available under Nigerian law. Where applicable law permits quotation, criticism, review, reporting, education, research, parody or another lawful use, these Terms do not prohibit that lawful use.
Where you quote The Elisha Show, you should provide reasonable attribution and avoid presenting a quotation out of context in a misleading manner.
07 — User content
Listener-Generated Content
If The Elisha Show allows users to submit comments, reviews, questions, testimonials, messages, suggestions or other content, you remain responsible for the content you submit. You should not submit content that:
- is unlawful;
- infringes another person’s rights;
- contains confidential information that you do not have permission to disclose;
- is knowingly false or deceptive;
- contains malicious software;
- harasses or threatens others; or
- violates applicable platform or website rules.
The Elisha Show may moderate, remove or decline to publish user-submitted content where appropriate.
08 — Feedback
Feedback and Suggestions
If you voluntarily send suggestions, ideas, recommendations, feedback or other comments about The Elisha Show, you understand that we may use such feedback to improve the Show and its services without creating an obligation to compensate you, unless separately agreed in writing.
09 — Third parties
Third-Party Platforms
The Elisha Show distributes content through third-party services, which may include podcast platforms, video platforms, social-media platforms, websites, applications, streaming services and other digital services.
Your use of those platforms is also subject to their respective terms and policies. The Elisha Show does not control the policies, availability, algorithms, technical operations or independent practices of third-party platforms.
10 — Third-party links
Third-Party Links
The Elisha Show may provide links to websites, resources, products, services or organizations operated by third parties. A link does not necessarily mean that The Elisha Show endorses, controls or guarantees the third-party website, product or service.
You access third-party websites at your own discretion and subject to their applicable terms and policies.
11 — No advice
No Professional Advice
The Elisha Show contains conversations and information from hosts, guests and other contributors. Content may be educational, informational, inspirational or entertainment-oriented.
Unless expressly stated otherwise, content should not automatically be treated as professional legal, medical, financial, psychological, investment or other specialized advice. You are responsible for determining whether professional advice is appropriate for your circumstances.
12 — Guest opinions
Guest Opinions
Opinions expressed by guests belong to the respective guests. A guest’s appearance does not necessarily mean that The Elisha Show endorses every statement, opinion, product, service, organization or claim expressed by that guest.
II
The Elisha Show Content & Intellectual Property
What The Show owns outright, and how that differs from what a guest brings into the room.
13 — Ownership
Ownership of The Elisha Show’s Original Content
The Elisha Show retains applicable intellectual-property rights in content that it independently creates or owns. This may include:
- The Elisha Show name;
- logos;
- branding;
- original graphics and artwork;
- website content;
- original articles and questions;
- introductions and outros;
- production materials and arrangements;
- original show notes and episode descriptions;
- promotional and educational materials;
- compilations;
- original audiovisual production elements; and
- other original works created by or for The Elisha Show.
The Copyright Act, 2022 recognizes audiovisual works and sound recordings as copyrightable works under Nigerian law.
14 — Guest content
Guest Content Is Not Automatically Owned by the Show
The Elisha Show does not claim that participation automatically transfers every intellectual-property right independently owned by a guest. Instead, guests grant The Elisha Show the license expressly described in Part III.
This distinction allows The Elisha Show to use and exploit the interview while respecting intellectual-property rights that may independently belong to the guest or another rights holder.
15 — Protection
Protection of The Elisha Show Content
Nothing in these Terms gives listeners, viewers or other users ownership of The Elisha Show’s intellectual property. Unauthorized reproduction, distribution, commercial exploitation or other infringement may result in the exercise of rights and remedies available under applicable law.
The Nigerian Copyright Commission is the Nigerian authority responsible for copyright administration and enforcement.
III
Podcast Guest Terms & Recording License

- authorize service providers to process, store, transcribe, edit, distribute or otherwise assist with production; and
- license eligible content to third parties as permitted by these Terms.
19 — Distinction
Copyright Ownership and License Distinction
Your participation does not automatically transfer ownership to The Elisha Show of intellectual property that you independently own. Instead, you grant The Elisha Show the broad license described in these Terms.
The Elisha Show’s ownership applies to intellectual property it independently creates or owns. If the parties later agree to an assignment of specific intellectual-property rights, that assignment shall be addressed separately to the extent required by applicable law.
20 — Worldwide license
Worldwide and Perpetual License
The Elisha Show is an international media platform. Your interview may therefore be accessed, streamed, downloaded, shared, distributed, promoted, archived, syndicated or licensed throughout the world.
The license is worldwide and perpetual, subject to applicable law.
21 — Monetization
Commercial Use and Monetization
The Elisha Show may commercially operate, distribute and monetize its content. Commercial activities may include:
- advertising, sponsorships and partnerships;
- platform monetization, memberships and subscriptions;
- courses and educational products;
- events and promotional campaigns;
- licensing, syndication and content partnerships;
- archival licensing; and
- other legitimate commercial activities.
Unless separately agreed in writing, a guest is not entitled to royalties, sponsorship revenue, advertising revenue or licensing fees solely because they appeared on the Show.
22 — Third-party licensing
Third-Party Distribution and Licensing
The Elisha Show may enter into agreements with third parties concerning distribution, syndication, archival preservation, transcription, translation, education, research, media, technology, commercial use, or other lawful exploitation of eligible content.
A third-party license does not automatically grant unrestricted rights to a guest’s identity, voice or likeness. The Elisha Show may only license rights it legally holds or is authorized to license.
23 — Transcripts
Transcripts
The Elisha Show may create or commission transcripts of interviews. Transcripts may be published, edited, translated, distributed, archived, searched, licensed, commercially used, and incorporated into other legitimate media formats, to the extent permitted by applicable law and these Terms.
24 — Clips
Clips, Quotes and Promotional Content
The Elisha Show may create short-form video, audio clips, audiograms, quotations, excerpts, captions, promotional graphics, articles, social-media posts, and other promotional materials from an interview. These may be published separately from the full episode.
25 — Editing
Editing
The Elisha Show may edit recordings for length, clarity, technical quality, sound, video, pacing, structure, removal of silence or repetitions, removal of technical problems, accessibility, formatting, and promotional purposes.
The Elisha Show will not knowingly manipulate a guest’s contribution in a materially misleading manner.
IV
AI, Machine Learning & Synthetic Media
Where the license ends and a separate, explicit authorization begins.
26 — Important notice
Important AI Notice
Participation in The Elisha Show does not automatically grant permission to create an artificial version of a guest. The content license permits use of the actual interview and the content contained within it as expressly described in these Terms.
It does not constitute an unrestricted license to reproduce the guest’s identity through artificial or synthetic means.
27 — Voice cloning
Voice Cloning
Unless separately authorized in writing, these Terms do not authorize:
- cloning a guest’s voice;
- creating a synthetic replica of a guest’s voice;
- generating new speech intended to sound like the guest;
- creating an artificial performance intended to appear to have been performed by the guest; or
- commercially exploiting a synthetic version of the guest’s voice.
The use of the actual audio recording of a guest speaking in an episode is different from creating a synthetic reproduction of that voice.
28 — Synthetic likeness
Synthetic Likeness and Digital Replication
Unless separately authorized in writing, these Terms do not authorize:
- creating a digital replica of a guest’s face;
- creating a synthetic likeness or AI avatar intended to represent the guest;
- creating a digital twin;
- generating artificial video intended to appear to be the guest;
- impersonating the guest through synthetic media; or
- otherwise creating a substantially equivalent artificial reproduction of the guest’s identity.
29 — Impersonation
Artificial Statements and Impersonation
The license does not authorize creation of new statements falsely presented as though a guest personally made them. A third party may not use licensed content to falsely represent that a guest made a statement, endorsement, performance or communication that the guest did not actually make, unless separately authorized and legally permitted.
30 — AI training
AI Training, Research and Data Licensing
The Elisha Show may, where legally permitted, license eligible content from its archive to third parties for lawful purposes, including certain research, technological, educational, data or machine-learning-related purposes. Eligible content may include:
- transcripts and textual material;
- metadata and episode descriptions;
- excerpts and recordings; and
- other content The Elisha Show is legally entitled to license.
However, licensing content does not automatically grant permission to clone, recreate or synthesize a guest’s identity. Unless expressly authorized through a separate written agreement, third-party use shall not include:
- voice cloning or synthetic voice creation;
- digital likeness creation or synthetic impersonation;
- creation of artificial statements attributed to a guest;
- biometric identification or profiling; or
- substantially equivalent synthetic reproduction of a guest’s identity.
31 — Separate authorization
Separate AI Authorization
If The Elisha Show and a guest agree to authorize voice cloning, synthetic likeness, digital replication, AI-generated performance or another synthetic-identity use, that authorization must be addressed in a separate written agreement identifying the specific permitted use.
Ordinary participation in The Elisha Show does not constitute that authorization.
V
Guest Responsibilities
What a guest confirms, provides, and remains accountable for.
32 — Representations
Guest Representations
By participating, you represent that:
- you are legally capable of entering into these Terms;
- you are participating voluntarily;
- you have the right to participate;
- you have the right to provide materials you voluntarily submit;
- you will not knowingly provide another person’s confidential information without authorization;
- you will not intentionally submit material that infringes another person’s rights; and
- to the best of your knowledge, your participation does not violate an agreement preventing you from participating.
33 — Materials
Guest-Provided Materials
If you voluntarily provide photographs, biographies, logos, documents, links, books, graphics, promotional materials or other materials, you grant The Elisha Show permission to use those materials for purposes reasonably connected with producing, publishing, distributing, promoting, marketing and archiving your episode.
You represent that you have the necessary rights or permissions to provide those materials.
34 — Confidentiality
Confidential Information
Guests should not knowingly disclose confidential, proprietary, privileged or commercially sensitive information belonging to another person or organization without authorization.
If a guest accidentally discloses sensitive information, the guest should notify The Elisha Show as soon as reasonably possible. The Elisha Show may consider whether the affected portion should be edited or withheld from publication.
35 — Publication
No Guarantee of Publication
Participation does not guarantee publication. The Elisha Show may determine whether an episode is published; when and where it is published; the title, description and artwork; the order of publication; the final edited format; and the distribution platforms.
The Show may postpone, cancel, edit, archive, remove, republish or discontinue an episode or portion of an episode, subject to applicable law.
36 — Change requests
Guest Requests for Changes or Removal
The Elisha Show may consider reasonable requests concerning factual inaccuracies, serious privacy concerns, legal concerns, accidental disclosure of confidential information, technical errors, or other legitimate concerns.
Participation does not create an automatic right to demand permanent removal of an episode. Nothing in this section restricts a right that cannot legally be restricted.
37 — Archive
Archival Rights
The Elisha Show may preserve interviews as part of its historical and media archive. The archive may be maintained even if a guest’s circumstances, professional activities, website, social-media presence or relationship with the Show later changes, subject to applicable law.
VI
Privacy & Data Protection
What personal information is collected, why, and under which law.
38 — Personal data

Nigeria Data Protection Act, 2023
The Elisha Show shall process personal data in accordance with applicable Nigerian data-protection law, including the Nigeria Data Protection Act, 2023, and applicable regulations, directives, codes and guidance issued by the Nigeria Data Protection Commission.
The NDPC identifies data-subject rights including rights to be informed, access, rectification, objection, restriction, portability, erasure and rights relating to certain automated decision-making. Nothing in these Terms is intended to unlawfully remove or restrict a mandatory right available to a data subject.
40 — Purposes
Purposes of Processing
Personal information may be processed for communicating with guests and users; scheduling and conducting interviews; producing and publishing episodes; creating transcripts and captions; promoting and distributing content; managing guest relationships; operating the website; maintaining records; administering services; protecting legal rights; complying with legal obligations; and other purposes reasonably connected with operating The Elisha Show.
41 — Cross-border
International Processing
Because The Elisha Show operates internationally, personal information and content may be processed, hosted, stored or transmitted through service providers and platforms located outside Nigeria. Where applicable, The Elisha Show will comply with requirements governing lawful processing and applicable international transfers of personal data.
42 — Requests
Data Subject Requests
Questions or requests concerning personal data may be directed to elisha@theelishashow.com.
Certain information may need to be retained where required by law, necessary to establish or defend legal claims, necessary for legitimate archival purposes or otherwise permitted by applicable law.

- other applicable laws and regulations of the Federal Republic of Nigeria.
44 — Copyright & licensing
Copyright and Licensing
The Elisha Show’s original production materials, recordings, edited episodes, artwork, show notes, transcripts created by or for The Elisha Show, promotional materials, compilations and other original works shall be protected and administered in accordance with applicable Nigerian copyright law.
The rights granted by guests under these Terms are intended to operate as a license for the uses expressly described herein. They should not be interpreted as automatically transferring ownership of intellectual property independently owned by a guest.
45 — Privacy protections
Constitutional Privacy
The parties acknowledge applicable privacy protections under the Constitution of the Federal Republic of Nigeria, 1999, as amended, including section 37 where applicable. Nothing in these Terms is intended to unlawfully exclude constitutional or statutory rights that cannot legally be excluded.
46 — Global reach
International Distribution
The Elisha Show’s content may be accessed, downloaded, streamed, distributed, licensed or otherwise made available outside Nigeria. Although these Terms are governed by Nigerian law, content may also be subject to mandatory laws of jurisdictions in which it is accessed or used.
Where mandatory law provides a right that cannot lawfully be excluded, nothing in these Terms is intended to exclude that right.
47 — Disputes
Dispute Resolution
The parties should first attempt in good faith to resolve disputes through direct communication. Where a dispute cannot be resolved amicably, the parties may use an appropriate dispute-resolution mechanism available under Nigerian law, including mediation, arbitration where separately agreed or legally applicable, or proceedings before a competent court.
Nothing prevents a party from seeking urgent legal relief where necessary.
48 — Jurisdiction
Jurisdiction
Subject to applicable law and any valid alternative dispute-resolution agreement, the parties submit to the jurisdiction of the competent courts of the Federal Republic of Nigeria.
49 — Mandatory rights
No Waiver of Mandatory Rights
Nothing in these Terms is intended to waive, exclude or restrict a mandatory statutory right; a constitutional right; a mandatory data-protection right; a right that cannot lawfully be waived; or a remedy that applicable law requires to remain available.
Where a provision conflicts with a mandatory provision of Nigerian law, the mandatory legal provision shall prevail to the extent of the conflict.
50 — Severability
Severability
If any provision is found invalid, unlawful or unenforceable, it shall be interpreted or limited to the minimum extent necessary to make it enforceable where legally permissible. If it cannot be made enforceable, it shall be severed to the extent necessary. The remaining provisions remain in effect.

Entire Agreement
These Terms constitute the general agreement between you and The Elisha Show concerning the matters addressed in this document. A separate written agreement may modify these Terms for a particular guest, episode, licensing arrangement, commercial partnership or other project.
Where a separate written agreement expressly conflicts with these Terms, the separate agreement shall control to the extent of the conflict.
52 — Amendments
Amendments
The Elisha Show may update these Terms from time to time. An updated version may be published on the official website with a revised effective date. Unless otherwise required by law, changes apply prospectively.
A guest who participates in a new recording after an updated version becomes effective will be subject to the version applicable at the time of participation, subject to applicable law.
53 — Relationship
No Employment, Partnership or Agency
Participation as a guest does not create an employment relationship, partnership, joint venture, agency relationship or other business relationship between the guest and The Elisha Show unless separately agreed in writing.
54 — No guarantee
No Guarantee of Results
The Elisha Show does not guarantee that listening, viewing, sharing content or appearing as a guest will result in business opportunities, customers, followers, publicity, media coverage, financial gain, professional opportunities, or any particular outcome.
